Terms of Service

1. Definitions

• "Service" refers to the ChildMinderPro web application and all related features
• "User", "You" refers to the registered childminder or business using our Service
• "We", "Us", "Our" refers to WebuildLogic.com, the provider of ChildMinderPro
• "Content" refers to any data, text, images, or files you upload to the Service
• "Subscription" refers to your paid access to the Service

2. Eligibility

To use ChildMinderPro, you must:

• Be at least 18 years of age
• Be a registered childminder or operate a legitimate childcare business in the United Kingdom
• Have the legal authority to enter into this agreement
• Provide accurate and complete registration information

3. Account Registration

When you create an account:

• You are responsible for maintaining the confidentiality of your login credentials
• You must notify us immediately of any unauthorised access
• You are responsible for all activities under your account
• One account per childminding business (multi-user access available on your plan)

4. Free Trial

We offer a 5-day free trial:

• No credit card required to start your trial
• Full access to all features during the trial period
• Trial automatically expires after 5 days
• One free trial per business
• We reserve the right to limit or terminate trials for abuse

5. Subscription and Payment

5.1 Pricing

• Monthly: £12.99 per month, billed monthly
• Annual: £145.88 per year (equivalent to £12.16/month, save £10)

Prices include VAT where applicable. We reserve the right to change pricing with 30 days' notice.

5.2 Billing

• Subscriptions are billed in advance
• Payments are processed securely by Stripe, our payment processor. By subscribing, you agree to Stripe's Services Agreement and acknowledge their Privacy Policy
• We do not store your full payment card details - these are handled securely by Stripe
• Subscriptions auto-renew unless cancelled
• Failed payments may result in service suspension

5.3 Refunds

• Monthly subscriptions: No refunds for partial months
• Annual subscriptions: Refunds are only available within the first 14 days of purchase. After 14 days, no refunds will be issued for annual subscriptions.
• Contact billing@childminderpro.com for refund requests within the 14-day period

6. Cancellation

You may cancel your subscription at any time:

• Cancel through your account settings or by contacting support
• Access continues until the end of your current billing period
• Your data will be retained for 30 days after cancellation for data export
• After 30 days, data may be permanently deleted

7. Acceptable Use

You agree NOT to:

• Use the Service for any unlawful purpose
• Upload false, misleading, or fraudulent information
• Share your account with unauthorised users
• Attempt to gain unauthorised access to our systems
• Reverse engineer, decompile, or copy our software
• Use the Service to harm children or vulnerable persons
• Violate any applicable childcare regulations or safeguarding requirements
• Upload viruses, malware, or harmful code
• Exceed reasonable usage limits or abuse system resources

8. Your Content and Data

8.1 Ownership

You retain ownership of all Content you upload to ChildMinderPro. We do not claim ownership of your data.

8.2 License to Us

You grant us a limited license to store, process, and display your Content solely to provide the Service to you.

8.3 Your Responsibilities

• You are the data controller for children's information you input
• You must have appropriate consent or legal basis to store personal data
• You must comply with UK GDPR and childcare data protection requirements
• You are responsible for the accuracy of information you enter

8.4 Data Export

You may export your data at any time through the platform's export features.

9. Service Availability

• We aim for 99.9% uptime but do not guarantee uninterrupted access
• Scheduled maintenance will be notified in advance where possible
• We are not liable for outages beyond our reasonable control
• Support is available via email during UK business hours

10. Intellectual Property

• ChildMinderPro, our logo, and all software remain our intellectual property
• You may not copy, modify, or distribute our software
• Feedback you provide may be used to improve our Service

11. Third-Party Services

Our Service may integrate with third-party services. We are not responsible for:

• The availability or performance of third-party services
• Any data shared with third parties at your direction
• Third-party terms, policies, or practices

12. Your Professional Responsibilities

12.1 Data Accuracy

You are solely responsible for:

• The accuracy, completeness, and timeliness of all information you enter into the system
• Ensuring records are up-to-date and reflect your actual practice
• Verifying that any reports, exports, or generated documents are accurate before using them
• Maintaining backup records as required by your professional obligations

12.2 Care Inspectorate Compliance

While ChildMinderPro is designed to support your compliance efforts:

• You are solely responsible for meeting all Care Inspectorate requirements and standards
• Our tools, templates, and frameworks are provided as guidance only and do not constitute professional, legal, or regulatory advice
• You must independently verify that your practices comply with current regulations
• The Care Inspectorate's requirements may change - you are responsible for staying informed of updates
• Self-evaluation tools and quality frameworks are aids to help you reflect on practice, not guarantees of inspection grades

12.3 Professional Advice

ChildMinderPro does not provide:

• Legal advice - consult a solicitor for legal matters
• Financial or tax advice - consult an accountant for financial matters
• Medical advice - consult appropriate healthcare professionals
• Child protection advice - follow your local authority procedures and consult professionals
• Employment advice - seek appropriate professional guidance

Any information, templates, or guidance provided through the Service should be verified with appropriate professionals.

12.4 Policy Templates

Regarding policy templates and documents provided:

• Templates are provided as starting points and must be customised to your specific setting
• You are responsible for ensuring policies accurately reflect your practice
• Policies should be reviewed regularly and updated as regulations change
• We do not guarantee that templates meet all current regulatory requirements

12.5 Childcare Practice

Nothing in our Service replaces:

• Your professional training and qualifications
• Your duty of care to children in your setting
• Your safeguarding responsibilities
• Your professional judgement in day-to-day practice
• Your legal obligations under Scottish childcare legislation

13. Disclaimer of Warranties

While we design our tools to help you meet regulatory requirements, we do not guarantee compliance with Care Inspectorate or other regulatory standards. You remain responsible for your own regulatory compliance.

14. Limitation of Liability

To the maximum extent permitted by law:

• Our total liability is limited to the fees you paid in the 12 months preceding any claim
• We are not liable for indirect, incidental, or consequential damages
• We are not liable for loss of data, business interruption, or lost profits
• We are not liable for regulatory fines or penalties you may incur

Nothing in these Terms excludes liability for death, personal injury caused by negligence, fraud, or any liability that cannot be excluded by law.

15. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Content you upload to the Service

16. Termination

We may suspend or terminate your account if:

• You breach these Terms
• Your payment fails and remains unpaid
• We reasonably believe your use poses a risk to children or others
• Required by law or regulatory authority

Upon termination, you must cease using the Service. Provisions regarding intellectual property, liability, and disputes survive termination.

17. Business Continuity and Force Majeure

17.1 Force Majeure

We shall not be liable for any failure or delay in performing our obligations where such failure or delay results from circumstances beyond our reasonable control, including but not limited to:

• Natural disasters, severe weather, or acts of God
• Pandemic, epidemic, or public health emergency
• War, terrorism, civil unrest, or government action
• Power outages, internet or telecommunications failures
• Cyberattacks, hacking, or malicious software attacks on our systems
• Failure of third-party services we rely upon (e.g., hosting providers, payment processors)

During any force majeure event, we will make reasonable efforts to restore the Service as quickly as possible and keep you informed of progress.

17.2 Service Continuity

We maintain regular backups of your data and take reasonable measures to ensure business continuity. However, in the event that ChildMinderPro is unable to continue operating due to:

• Cessation of business operations
• Death or incapacity of key personnel
• Insolvency or financial difficulties

We will make reasonable efforts to:

• Provide at least 30 days' notice where possible before service termination
• Allow you to export your data before the Service ends
• Issue pro-rata refunds for any prepaid subscription periods not yet used

17.3 Data Export

You may export your data at any time through the platform's export features. In the event of planned service discontinuation, we will ensure data export functionality remains available for a minimum of 30 days after announcement.

17.4 No Guarantee of Continuous Availability

While we strive for high availability, we do not guarantee uninterrupted access to the Service. Scheduled maintenance, system updates, and unforeseen technical issues may cause temporary unavailability.

18. Changes to Terms

We may update these Terms periodically. We will notify you of material changes via email or through the platform at least 30 days before they take effect. Continued use after changes constitutes acceptance.

19. Governing Law

These Terms are governed by the laws of Scotland. Any disputes shall be resolved in the courts of Scotland, unless you are a consumer with rights to bring proceedings in your local jurisdiction.

20. Dispute Resolution

21. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

22. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service.
